In addition to Rule 5131 FINRA Rule 5130 also restricts a FINRA broker-dealer from selling New Issues to any account in which a restricted person has a beneficial interest unless an exemption set out in the rule applies7. Under FINRA Rule 8210 FINRA can require a member person associated with a member or any other person subject to FINRAs jurisdiction to provide documents information or sworn testimony.

Pursuant to the Rule 9600 Series FINRA may in exceptional and unusual circumstances taking into consideration all relevant factors exempt a person unconditionally or on specified terms from any or all of the provisions of this Rule that it deems appropriate consistent with the protection of investors and the public interest. Covered PersonAny executive officer or director of a public company or a covered non-public company or a person materially supported by such executive officer or director. Understanding the categories of persons that are covered by Rule 506 d which we refer to in this guide as covered persons is important because issuers are required to conduct a factual inquiry to determine whether any covered person has had a disqualifying event and the existence of such an event will either disqualify the offering from reliance on Rule 506 or will have to be disclosed to investors.
